To become part of Harper Jenkins Scobie Enterprises, we will either buy your company outright, take an equity position or set up a new entity to launch your product(s). If we choose to launch your products we will set up a new company using the sequential steps below to form and launch the new company.

Selection of Legal Entity Form of Business Structure

Once Harper Jenkins Scobie Enterprises (HJSE) decides to take an equity position in either the existing or new company it will carefully evaluate the nature of the business and advise the best form of business structure available. The selection of the form of business structure chosen will determine members personal liabilities, the amount of taxes we each will pay, our ability to raise capital and the volume of regulatory compliance paperwork.

Research Desired Company Name

Once Harper Jenkins Scobie Enterprises (HJSE) has decided to take an equity position in your company, it will conduct an extensive search of your proposed company name. HJSE will search the United States Patent & Trademark Electronic Search System data base (TESS), the Secretary of State data base, domain names and social media sites to determine the availability of your proposed company name. The name search is important for two reasons. First, to determine if your proposed company name can be used consistently on each of these platforms and second, to protect your company name on the federal and state levels through trademark registrations as well as for the protection of its website domain address.

Federal and State Formal Legal Organizational Compliance Requirements

Harper Jenkins Scobie Enterprises (HJSE) will provide advisory and management services to set up the new company so that it adheres to all aspects of the very challenging, complex regulatory, public policy and private law ecosystems under which it must operate. HJSE will file the necessary paperwork to incorporate the business, prepare an operating agreement, obtain necessary licenses, permits and registrations, including, but not limited to state and city business licenses, Food & Drug Administration nutrition fact panels, federal Employer Identification Number (EIN), state sales tax license number, zoning clearance approvals, etc.

Bank Accounts

Harper Jenkins Scobie Enterprises (HJSE) will provide all advisory and management services necessary to set up all aspects for the Company to open and close both operating and payroll bank accounts, including, but not limited to, preparing company resolutions to open and/or close these accounts, preparing company minutes, preparing and/or providing required new account bank information, obtaining signatory cards, etc. Harper Jenkins Scobie Enterprises will provide bank management services that include, but is not limited to, reviewing all monthly bank statements, consolidating bank accounts into a management report, preparing daily Bank Activity Reports (BAR) and ensuring that proper internal controls are put in place, and continuously tested, to ensure prevention against fraud, terrorism, cybercrime and tax evasion.

Payroll System

Harper Jenkins Scobie Enterprises (HJSE) will provide all advisory and management services necessary for the company to set up all aspects of its outside sourced payroll system, including government compliance reporting requirements.
